Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Proverbs Trading service and website at proverbstrading.com (together, the “Service”), operated by Sinai Digital LLC, doing business as Proverbs Trading (“Proverbs Trading,” “we,” “us,” or “our”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements. You are responsible for complying with all laws and regulations that apply to your trading activity.

2. Accounts

To use most features, you must create an account. You agree to provide accurate information, keep your credentials confidential, and promptly notify us at contact@proverbstrading.com of any unauthorized access. You are responsible for all activity that occurs under your account.

During our private beta, accounts are invite-only. We may revoke beta access at our discretion.

3. The Service

Proverbs Trading provides tools for tracking options positions, screening equities for the wheel strategy, and calculating roll opportunities. The Service may display quotes, fundamentals, scores, and signals derived from third-party market-data providers and from the brokerage accounts you connect.

Market data is provided “as-is,” may be delayed, and may contain errors. Nothing in the Service should be treated as real-time, exchange-authoritative data.

4. No investment advice; options trading risk

Proverbs Trading is not a registered investment adviser, broker-dealer, or financial planner. Nothing the Service produces — including scores, rankings, screener output, roll signals, notifications, or any commentary — constitutes personalized investment advice, a solicitation, or an offer to buy or sell any security.

You are solely responsible for your own trading decisions. You should consult a licensed financial professional regarding your particular situation before acting on any information you derive from the Service.

Options trading involves substantial risk and is not suitable for every investor. You may lose some or all of the money you invest. The cash-secured put and covered call strategies known as the “wheel” include risks such as assignment at unfavorable prices, adverse moves in the underlying security, limited upside, and opportunity cost. Before trading options, you should read the Options Clearing Corporation’s Characteristics and Risks of Standardized Options, available from your broker. Past performance does not guarantee future results.

5. Subscriptions and fees

The Service may be offered for free during the private beta. When paid subscriptions become available, pricing, billing frequency, and cancellation terms will be presented at signup and made available in your account. Payments are processed by Stripe; we do not store full payment card numbers. Fees are non-refundable except where required by law or expressly stated in writing.

6. Brokerage and third-party services

The Service integrates with third-party services, including SnapTrade (for brokerage connectivity), Intrinio (for market data), Supabase (for application infrastructure), Stripe (for payments), and Telegram (for optional notifications you enable). Your use of those services is subject to their own terms and privacy policies.

When you connect a brokerage account, you authorize us (through SnapTrade) to retrieve read-only data about your holdings, orders, and transactions. The Service does not place trades on your behalf. You remain solely responsible for orders you place with your broker, including any orders inspired by output from the Service.

7. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that such restriction is prohibited by law;
• Access or use the Service to build a competing product;
• Use the Service in violation of applicable securities laws, exchange rules, or the terms of your broker;
• Resell, sublicense, or redistribute any market data, score, or signal obtained from the Service;
• Use automated means to scrape or extract data from the Service beyond what is permitted by our published API (if any);
• Interfere with the operation of the Service or attempt to gain unauthorized access to any account, system, or data.

8. Intellectual property

The Service, including its software, design, scoring models, and content (other than your own data) is owned by Proverbs Trading or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal trading use. You retain ownership of the data you provide (including the content of your brokerage accounts).

9. Feedback

If you send us feedback, bug reports, or feature requests, we may use them without restriction or obligation to you.

10. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if operating the Service for you becomes impractical. Sections that by their nature should survive termination (including Sections 4, 7, 8, 9, 11, 12, 13, 14, and 16) will survive.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. Proverbs Trading disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that data will be accurate or reliable, or that the Service will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, Proverbs Trading and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, or trading losses, arising from or relating to your use of the Service — even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amounts you have paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Proverbs Trading and its officers, employees, and affiliates from any claim, demand, loss, or damages (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or the rights of a third party, or (d) any trade you place based on output from the Service.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will require you to review and affirmatively accept the updated Terms before you can continue using the Service, and we keep a record of that acceptance. For non-material changes, we may notify you by email or in-Service notice, and your continued use of the Service after the changes take effect constitutes acceptance.

16. Miscellaneous

These Terms constitute the entire agreement between you and Proverbs Trading regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
